1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the Fedna AI platform, including our website, applications, APIs, and related services (collectively, the "Service"), operated by Fedna AI ("Company," "we," "us," or "our").
By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
2. Description of Service
Fedna AI is a multi-channel AI customer operations platform that enables businesses to automate customer interactions through AI agents across WhatsApp, web chat, phone, Instagram, and other channels. The Service includes:
- AI-powered customer communication agents
- Multi-channel messaging (WhatsApp, web widget, phone, Instagram)
- Customer relationship management (CRM) features
- Task management and automation
- Team collaboration tools
- Voice AI with real-time speech-to-text and text-to-speech
- Analytics and reporting dashboards
- API access and integrations
3. Account Registration
3.1 Account Creation
To use the Service, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3.2 Organization Accounts
When you create an organization account, you become the administrator. You may invite team members who will be bound by these Terms. Administrators are responsible for managing team member access and permissions.
3.3 Account Security
You must immediately notify us of any unauthorized use of your account or any other breach of security. We are not liable for any loss arising from unauthorized use of your account.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws, regulations, or third-party rights
- Send unsolicited messages (spam) or bulk communications without recipient consent
- Transmit harmful, offensive, or fraudulent content
- Impersonate any person or entity
- Interfere with or disrupt the Service or its infrastructure
- Attempt to gain unauthorized access to the Service or its systems
- Use the Service for any illegal, harmful, or abusive purpose
- Reverse engineer, decompile, or disassemble any part of the Service
- Circumvent any rate limits, usage restrictions, or security measures
- Use the Service in a manner that violates WhatsApp, Instagram, or any other third-party platform's terms of service
5. Customer Data and Content
5.1 Your Data
You retain all rights to the data and content you upload, create, or transmit through the Service ("Your Data"). You grant us a limited, non-exclusive license to use Your Data solely to provide and improve the Service.
5.2 AI Processing
The Service uses artificial intelligence to process customer interactions. By using the Service, you acknowledge that customer messages and conversations may be processed by AI models to generate responses, summaries, and insights. You are responsible for disclosing AI use to your customers as required by applicable law.
5.3 Data Accuracy
AI-generated responses and analyses are provided on an "as-is" basis. You are responsible for reviewing and verifying AI-generated content before relying on it for critical decisions.
6. Third-Party Integrations
The Service integrates with third-party platforms including but not limited to WhatsApp Business API, Instagram Graph API, telephony providers, and AI model providers. Your use of these integrations is subject to the respective third-party terms of service. We are not responsible for the availability, accuracy, or performance of third-party services.
7. Fees and Payment
7.1 Subscription Plans
Access to the Service may require a paid subscription. Fees, billing cycles, and plan details are described on our pricing page and in your order agreement.
7.2 Usage-Based Charges
Certain features may incur usage-based charges, including but not limited to AI model usage, voice minutes, messaging costs, and telephony charges. Current rates are available in your billing dashboard.
7.3 Payment Terms
All fees are non-refundable unless otherwise specified. We reserve the right to modify pricing with 30 days' advance notice.
8. Intellectual Property
The Service, including its design, features, code, documentation, and branding, is owned by Fedna AI and protected by intellectual property laws. These Terms do not grant you any rights to use our trademarks, logos, or brand assets without prior written consent.
9. Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the practices described in our Privacy Policy.
10. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform maintenance, updates, or modifications that temporarily affect availability. We will provide reasonable notice of planned downtime when possible.
11. Suspension and Termination
11.1 By You
You may terminate your account at any time by contacting us. Termination does not relieve you of any payment obligations incurred prior to termination.
11.2 By Us
We may suspend or terminate your access to the Service if you violate these Terms, fail to pay fees when due, or if we reasonably believe your use poses a risk to the Service or other users. We will provide notice where practicable.
11.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. We will retain Your Data for 30 days after termination, during which you may request an export. After this period, Your Data may be permanently deleted.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FEDNA AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
14. Indemnification
You agree to indemnify and hold harmless Fedna AI, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
15. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and, where practicable, by email. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.
16. General Provisions
- Governing Law: These Terms are governed by the laws of India, without regard to conflict of law principles.
- Dispute Resolution: Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with applicable arbitration rules, unless you are entitled to bring claims in a small claims court.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
- Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
- Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Fedna AI regarding the Service.
